(a) If a member of the EDC has a potential conflict of interest in any matter in which he is asked to participate, he will disclose the conflict to the EDC Chairman.
(b) If the Chairman of the EDC has received a disclosure in accordance with rule (a) and considers it reasonable and appropriate, he will require the member of the EDC to stand down from consideration of that matter.
